I am in Canada and did some interntional business as commission agent. Basically I source the product (fresh produce) for the local client overseas. But the product is shipped by the exporter to my client here directly. Due to quality problem, my client could not pay me any money for the problem product (because the sales return hardly covered the sales cost). Yet the overseas shipper kept pressure on me to pay off all the product (even bad ones). I told them I would pass the money to them if I got any from the customer (whenever there is quality problem, I don't expect any commission, just want to have the problem solved). They threat to sue me overseas or here if I don't pay off. I told them I am only an agent. My customer is repsonsible for this.
Is there any legal advice anybody can provide or is there any law that I can use to ';set me free'; from this dispute?
Any advice and help is highly appreciated.
Thanks

I would consult with an attorney experienced with intl business law. Depending on the amount I would just pay off the shipper and tell the customer they going to be charged extra on their next order.Need Legal Advice or Help about Intl Business Disputes?
Ok, first things first - how does this issue get resolved to your satisfaction?
For example, do you need to continue your relationships with local customers and your overseas supplier? If so, then legal action should be a last resort. If your overseas supplier is easy enough to replace (and they want to remain your supplier), then you have a negotiation tool or an option to leave on terms that suit you, not them. If you can ignore the customer, then you might want to 'pass-the-buck' to them.
Secondly, do you have any written agreement between you and the supplier? If so, what terms are mentioned and what jurisdiction is the agreement to be enforced? If you don't have any written agreement, then you and the supplier are both in a quandary, especially since your local laws might see you as an employee rather than an agent. If you do have a written agreement, consider if the terms are being applied fairly in this instance - spoiled goods are a cost of doing business, and they should know this. Also consider how liable you actually are - if you act in good faith and their damages are minimal, then suing you will probably not get them what they want.
Certainly use this as a chance to get your house in order - decide what risk you will assume and how to solve future disputes. As an agent, you really should be a gateway to business, not a guaranteed source of revenue for the supplier, regardless of their service to you. You should, for example, have the bill of sale written up as between the customer and the supplier, with you being paid commission directly by the supplier (perhaps partly in advance).
Before you jump into legal action, try to be very clear about how the situation is resolved and how you and the other parties would prefer things to be once it is resolved. Consider using an arbitration service - either an attorney, a government body or any responsible person that all parties agree to discuss their concerns with.
Hope that helps.
Firstly, confer with a lawyer about your situation that will be made into an Affidavit then inform your exporter about the perishable product, why I did not arrive on time that cause rottenness, so he can replace i t if necessary. And if your customer refused to receive the goods on stated due date ,he is responsible.

Viewing properties - Advice, Tips, & Help?
We are planning on viewing a few properties tomorrow and Saturday, then hopefully a second viewing next week..
What should we be looking for on the 1st viewing?
Then, what do we starting looking at on the 2nd viewing?
On paper the properties look in really good condition, and modern...
2beds ex-council houses £95,000
What kind of offers do we make?
What do we base them on? Can they be conditional, based on the surveyor
1st time buyers in need of some useful advice :)

Location, location, location is and always has been the watchword. It is better to buy the worst house in the best street not the best house in the worst street. You can always improve a house, but the area is beyond your control. So beware that aspect.
Initial viewing is a once over of the street and the house. Check for prosperous neighbours, good quality cars in the street or road always shows an affluent area. Coffee shops and high end grocery stores is also a good sign. Schools are a consideration. You may not have a family or plan one but eventually it may be an issue so plan for that eventuality. Ask specific questions about Council tax rates, water rates and energy costs over the previous year(s). Ask about any residential problems the current owner has had, bad neighbours, local crime stats etc.
With regard to the house, this is the Initial viewing. Here its more important to be general. So is the interior layout a good fit for you. Does the house feel RIGHT. Most people know when they walk in the door that a house is right for them. Check the overall decor, are the walls well painted, papered. Does the kitchen have all the doors on the cabinets. Are the door handles a match throughout. Silly things put you off but look past the silly stuff and consider the overall picture. You can always negotiate a better deal if you do. Which depends on the circumstances as you find them.
With regard to the negotiations, concider carefully all aspects of the property. Think with your head not your heart. Its a business decision and the most important one you will ever make. It has the potential to earn you a fortune if done right and to cost you one if done wrong. Ask questions of your agent. Has there been other offers in the past that have been rejected. If so why. If there have been no offers how long has the property been on the market. If its not selling then why, whats wrong it maybe the price or there maybe a defect you are unaware of. Check these out before agreeing to purchase, use your agent thats their job and one they are well rewarded for. Make the sale conditional on a structural survey and haggle if a major problem is found that you can live with for a few months. If you are unable to live with one thats found during the survey you are paying for then WALK AWAY.
Good luck with the search. Beware of unscrupulous agents. Don't rely on information they provide, always check with the owner or make private enquiries if in doubt. The information is usually there you just have to find it.Viewing properties - Advice, Tips, %26amp; Help?
Just look for any signs of damage, wear and tear, or damp, anything that is visible without too much looking, if you make an offer on any property and the survey report comes back showing that works are needed or that the property is worth less that what is is being sold at then you can make a lower offer or stick to the original offer as long as the vendor does all the work needed to the property. Some mortgage lenders offer free valuations with certain products.
Make a list of characteristics that are important to you such as location, appliances, neighborhood safety and see if you can find a property that meets all of those conditions. Don't make an offer until you consult a real estate agent. It is good to have your own real estate agent so that they are not influenced by the seller.
You want to absorb as much as you can at each viewing. Look at the condition of the appliances and heating systems, newer is always better. And refer to your personal list of characteristics that you want your home to have. Hope that helps. Good luck.
Things to do:
First viewing is to see if you could (want to) live there
Ignore the furniture and decoration
Check out the neighbourhood as you approach
Stand outside for a short while before or after (and listen)
Look in all the rooms, open all the doors, and look in all the corners... basically take it all in
See if what you have will fit (rough guess!)
Check what will be included
The first viewing is just really to see if it 'fits' you don't need to go overboard
The second viewing is when you are happy with house in principal... now you look for damage, things that need changing / fixing / removing
Look at how much it will cost to get the house the way you want a home
On first viewing, decide if it is the type of house you want. Look for obvious damage / areas to improve. Then when you decide if you want to go ahead with a second viewing, make a list of things you want to check. If it not obvious, ask the estate agent. They have to be honest
Don't buy before you secure a home inspection by a qualified professional. They can uncover any problems you may not recognize immediately. And yes, the contract can be written with that condition.
First viewing, look all around the neighborhood. What does the house back up to? How much traffic is in the neighborhood. In what condition are the adjacent houses?
Visit any homes you like after work hours and on the weekends to see the community as it really is.
Remember, look at the basic house, not the furnishings or other cosmetic items such as paint colors, floor coverings, etc. Those can easily be changed.
Take pictures of everything, both the good and the bad. This will give you a record of what you liked after the tour is finished. Then, when decision time comes, ask a family member or trusted friend to come along with you to view the property you've selected. Get the opinion of someone with experience.
Good luck!

Relationship advice! help!?
i am a married woman. my husband has been cheating on me the past year repeatedly..i got fed up with it. i started going out with a man i have known for about a year. we started ';talkin'; about 2 months ago. we have become sexually involved. i have feelings for him; he has told me the same. there have been times when he has told me he thinks we should stop seeing each other becuz of the risk of getting hurt/and because i'm still married. many times he doesn't want to see me becuz of this; i find myself forcing to see him but i usually get my way despite his morals about us not seeing each other becuz of my situation. but when we are together and we have sex/make out/cuddle he tells me he has to slow down cuz he sees hisself falling for me,etc. but yet he says he thinks we shouldn't see each other. he constantly says ';perfect chemistry..wrong time';. what does this means? if u really liked someone wouldnt u still want to see that person, regardless? even if feelings got involved??Relationship advice! help!?
In the end....and there will be an end (in one form or another), disregard the sexual intensity that exists now, because ALL relationships cool in time. You have two decisions to make. The first one is your current marriage. Do you want a divorce or not? You cannot go to relationship #2 unless you first make a solid and irrevocable dicision about what to do with relationship #1. You sound like you want a divorce. Start doing that, because the other guy has nothing to hope for, and neither do you, if you're both straddling the centerline of a love highway. I think you see where this is all going.Relationship advice! help!?
Men are men regardless of the situation they are put in. The difference is that it takes a man of strong morals, honesty and great confidence in himself to try and make the best decision for both of you no matter what the cost. Your friend may truly love you, but he is getting the benefits of having you without the hassle of a true commitment. We as women tend to forget that love is a decision and not a feeling. Our feelings are what can lead us into trouble, like making the decision to get involved with this man while still married. I know that you are angry and hurting, but remember angry starts out as being hurt first. I think that you need to figure out what is going to be the final outcome in your marriage before you get involved in anything else. If you don't, you will bring all your unfinished business into your new relationship and your new man will have to pay for your old man's mistakes. Every time this new man does something to remind you of what the last one did you will become upset and defensive towards him and maybe not intentionally. Sad but true, I have been there and done this before.
PLEASE take care of your marriage before you start ';falling'; in love with someone else. There is a reason why it is refered to as ';falling.'; Either fix your marriage or get a divorce. Then, and only then, will you be able to move on successfully to another relationship.
Okay, now more of the puzzle is revealed. Take solace in the fact that he is not using you and his feelings are probably genuine. But the relationship will not go any further than it has gone already. I am assuming he is older than you---right? He realizes that if you haven't left the security of your marriage by now, you probably won't and he doesn't want to be the ';cause'; of a divorce. What he is telling you is that he wants you but he does not want to end up dealing with your marital strife. He also doesn't want to tie himself down to a ';married'; woman. I mean, what is the point of that? Of course you'd still want to see the person irregardless of the extenuating circumstances but it takes a very special set of ppl to overcome the obstacles that you are facing...and maybe he just doesn't have the energy to keep doing it. It is hard, I know, but you need to expand your horizons. Divorce your husband if he is truly a dog. Find other ppl to associate with, not just this man. You need to distance yourself or you will end up suffering beyond what anyone should.moisturizing cream

. . . best thing I ever did for myself was going on this diet. It sucks for the first few days (while your body gets rid of the sugar) but after that, it's so easy and you'll have so much energy, you'll never want to go back to the way you lived before.Atkins diet help and advice needed please?
It works, and it will continue to work if you keep doing it. The problem with the diet is that it takes time to put your body in a state of ketosis, that is when you actually start losing weight, so a little cheat could set you back a week. I lost 45 lbs doing it, but gained it back just as quickly by just eating normal healthy foods. What happens is you lose water and then you lose muscle tone. But you do lose weight.
After about a year of losing and gaining on Atkins, I just started to try to eat healthy, I am still very observant of my carb consumption(hard habit to break), but I do eat a well balanced diet.
I have now lost 60 lbs and never felt better.Atkins diet help and advice needed please?

Remember.. this isn't a diet or a quick fix.. but a lifestyle change.
It helped me recover from eating disorders and retain a healthy living lifestyle. It completely changed the way I look at food when I thought there was no hope for me.
Go for it! I lost 85 lbs 4 years ago and have never felt better in my life. Sleep apnea-GONE. Planters fascia -GONE. I used to need 8-9 hours of sleep. Now i need 7. Forget the naysayers and get started. I eat what I want during the holidays and special occasions then it is right back to it.
Its not for everyone because no diet is. People process and use food differently.Contrary to popular belief vegetables and nuts are your main sources of vitamins on Atkins once you get started.
It is a life diet. If the typical American diet worked for you you wouldn't be asking about Atkins. You will gain the weight back if you stop because You will be going back to the diet that made yo fat in the first place. As far as I can tell low fat diets never work.
Good Luck

There are a lot of pro's and cons to the Atkins diet. It's hard on the body due to the intense amount of protein you have to eat. Not to mention most people that stop the Atkins diet gain the weight back. I would advise you to talk with your doctor before you start this diet.

What is the best method to losing weight. Suggestions or advice. I'm really overweight and need help!?
I'm really short and I have trouble with getting down on the floor and doing situps. I can't afford a gym membership and I live far from a park that I could walk around. What is the best method to losing weight. Suggestions or advice. I'm really overweight and need help!?
The best way to lose weight is to eat less and exercise more. If you live far from the park, try walking around the block. If your neighborhood isn't conducive to that, try waling around inside fof half an hour without stopping. Then after a week try to go for an hour.
Also, whatever you are eating now is too much. Start using smaller plates and only having one helping. If you eat out ask the waiter to put half of your meal into a take out container before he even brings it to your table. Avoid bread, potatoes, and any high carbohydrate foods.
Losing weight is not something you can do overnight, and if you want it to last you need to alter your lifestyle. Fad diets may work in the short run, but over time everyone that tries them ends up even heavier than they started.

Maybe u could go to the gym or the y with a friend it helps when u bring a friend and just eat good
Diet and exercise. Eat small amounts of food several times a day. Cut down on sugars and starchy foods (Carbohydrates).
Walking is a good exercise and swimming is better. I understand. Gyms are expensive and we have the same problem. I don't have a weight problem but my husband does and he keeps saying that he needs to join a gym etc but we cannot afford it. I try to cut down on his sugar intake but he sneaks them into his diet when at work! You have to work on losing weight bit by bit. Those fast ways of losing weight are not good because you will gain it back real fast. Walking is good but since you are far from a park, have you ever considered buying a walking exercise machine? You might want to check out used ones from the Classified ads in newspapers or those for sale at yard sales. We bought one some yrs back from a yard sale for $20. We have little space in our home and eventually had to put it in the yard where the elements of the weather spoilt it.
Also, if you have a Weight Watchers program in your town, it is good. My husband's friends , two of them and others I know have lost a lot of weight. They eat everything we eat except very small portions and they count the calorie intake. You will have to attend meetings or talk to the group leader, who will tell you all the details. My husband did not want to follow this method because he is used to eating large amounts or medium amounts and he considered their portions of food too small.
Weight Watchers doesn't cost too much and is great. Or get yourself out to walk every day and stop drinking anything but water for a week. No snacks like chips and pretzels. Eat broiled or baked meats. Skip butters and cream sauces . Lots of veggies and fruits!
